Last Updated: 29 September 2026. Section 11, Paulean Trips, is new. Sections 1 to 10 are unchanged since 15 June 2026.

1. Introduction and Acceptance

Welcome to Paulean, Inc. ("Paulean," "we," "us," or "our"). By accessing our website, mobile application, or utilizing our delegation services (collectively, the "Services"), you ("User," "you," or "Client") agree to be bound by these Terms of Service ("Terms").

IF YOU DO NOT AGREE TO THESE TERMS, YOU MAY NOT USE OUR SERVICES.

2. Description of Services & "Delegate Anything" Scope

Paulean provides a subscription-based delegation service where our employees ("Agents") assist you with various personal and professional tasks.

2.1 The "Delegate Anything" Definition

While we market our ability to handle a vast array of tasks, "Delegate Anything" is subject to the following strict limitations. You agree that you will not request tasks that are:

Paulean reserves the right to decline any task request at our sole discretion without penalty.

2.2 Marketing Claims & Time Savings

Any statements regarding time savings (e.g., "Get 3 hours back") are marketing estimates only and do not constitute a guarantee, warranty, or binding service level agreement (SLA). The actual time saved depends on the complexity of your requests and your responsiveness. We do not offer refunds or credits based on a User's perception of time saved.

3. Physical Tasks, Home Access, and Property

Since our Services may involve physical errands or access to your property (e.g., "Pick up my laundry," "Wait for the cable guy"):

3.1 Premises Liability

If you request an Agent to enter your home or office, you warrant that the premises are safe, free of hazards, and free of unrestrained animals. You agree to indemnify Paulean for any injuries our Agents sustain on your property due to your negligence.

3.2 Property Handling Waiver

While our Agents exercise reasonable care, you understand that accidents happen. Paulean is not liable for:

3.3 Vehicle Use

We do not transport passengers (we are not a taxi service) or transport illicit substances.

4. Purchasing and Expenses

4.1 Purchase Authorization

If you request us to make a purchase on your behalf (e.g., groceries, gifts), you agree to reimburse Paulean for the full cost of the goods/services plus any applicable processing fees.

4.2 No Returns

Paulean is not responsible if you are dissatisfied with the third-party goods purchased on your behalf. Returns must be handled by you directly with the vendor, though we may assist where feasible.

5. SMS Messaging Program

Paulean operates a transactional SMS messaging program (the "SMS Program"). This Section 5 governs your participation in the SMS Program. Mobile data handling is further described in our Privacy Policy.

5.1 Voluntary participation

Participation in the SMS Program is entirely voluntary. Opting in to the SMS Program is not a condition of any purchase, service, or transaction with Paulean. You may use any Paulean service, including our delegation services, without ever subscribing to SMS messages.

5.2 Opt-in

You may opt in to the SMS Program by completing the form at paulean.com/sms-opt-in.html and providing affirmative consent via the unchecked consent checkbox. Paulean does not enroll any user in the SMS Program without their explicit, voluntary, recorded consent.

5.3 Message types and frequency

SMS messages sent through the Program are transactional and include appointment confirmations, reminders, order updates, inquiry responses, and customer support communications. Frequency is approximately daily during periods of active engagement with Paulean, and none during periods of inactivity.

5.4 Costs

Message and data rates may apply. You are responsible for any charges from your mobile carrier related to messages sent or received through the SMS Program.

5.5 Opt-out and help

You may opt out of the SMS Program at any time by replying STOP to any Paulean message, or by emailing [email protected] with the subject "SMS opt out." You may reply HELP to any message for support information. Opt-out is immediate upon receipt and confirmed by an unsubscribe message.

5.6 Carrier notice

SMS messages are sent through carrier networks and carriers are not liable for delayed or undelivered messages.

5.7 Compliance

The SMS Program is operated in compliance with the Telephone Consumer Protection Act (TCPA), CTIA guidelines, and applicable A2P 10DLC carrier requirements.

6. Fees and Subscription

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

A. PAULEAN, INC. PROVIDES THE SERVICES ON AN "AS IS" AND "AS AVAILABLE" BASIS. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

B. IN NO EVENT SHALL PAULEAN, INC. BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR LOSS OF GOODWILL.

C. CAP ON LIABILITY: OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF THESE SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO PAULEAN IN THE THREE (3) MONTHS PRECEDING THE CLAIM.

8. Indemnification

You agree to defend, indemnify, and hold harmless Paulean, Inc. and its employees from any claims, damages, or expenses (including legal fees) arising from:

  1. Your violation of these Terms.
  2. Your violation of any law or third-party right.
  3. Any task you request that results in harm to a third party.

9. Intellectual Property and Work Product Ownership

9.1 Paulean Ownership of Work Product

Unless otherwise explicitly agreed in a separate, signed writing, all internal processes, templates, methodologies, tools, systems, software, or other artifacts developed, created, or utilized by Paulean Agents in the course of providing the Services (collectively, "Paulean Work Product") shall be the sole and exclusive property of Paulean, Inc. Paulean Work Product includes, but is not limited to, novel or user-intuitive ways created by Paulean to respond to, manage, or streamline tasks, even if such work product is used to fulfill your specific requests.

Example: If a Client requests assistance with increasing sales, and Paulean develops a proprietary internal workflow or decision-support template to streamline the sales targeting or follow-up process, that workflow or template is Paulean Work Product and belongs exclusively to Paulean.

9.2 Client Ownership of Deliverables Based on Specific Direction

Notwithstanding Section 9.1, any final, unique deliverable (e.g., a report, a presentation, a drafted document) that is created by a Paulean Agent based solely and strictly on the detailed, specific, and explicit specifications, instructions, or materials provided by the Client shall be the property of the Client. This transfer of ownership occurs only upon the Client's full payment for the Services rendered.

Example: If a Client provides Paulean with a fully defined, step-by-step sales process specification and explicitly directs Paulean to document or codify that process into a specified format, the resulting documented process, as an output, belongs to the Client. The underlying tools or general knowledge used by the Agent to create the documentation remain the property of Paulean.

10. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles. Any disputes shall be resolved exclusively in the state or federal courts.

11. Paulean Trips

Last updated: 29 September 2026

11.1 How these Terms apply to Paulean Trips

Paulean Trips, at trips.paulean.com, helps groups plan and book travel together, and is part of the Services. This Section 11 applies whenever you use Paulean Trips. Sections 1, 5 (if you opt in to SMS), 7, 8 and 10 also apply to Paulean Trips. Sections 2, 3, 4, 6 and 9 describe our delegation subscription and do not apply to Paulean Trips. If this Section 11 conflicts with another part of these Terms, this Section 11 controls for Paulean Trips.

In this Section, the lead booker or lead is the person who organizes a trip, a traveler is each person on it, including the lead, and a supplier is any airline, hotel, rental host, transport operator, venue, tour or activity provider, or other business that actually provides a travel service.

11.2 Paulean is a booking agent, not a supplier

Paulean plans and books travel services as your agent. Paulean does not own, operate or control any supplier, and does not provide the flights, rooms, transport, activities or venues. Each booking is governed by the supplier's own terms, including fare rules, change and cancellation policies, check-in times, baggage limits, house rules, age limits and liability limits. Where a supplier refuses a refund, Paulean cannot give one. Where an option is marked as verified, Paulean checked its price and availability on the date shown. That is not a guarantee of the supplier's quality, safety or performance.

11.3 The Lead Booker Agreement and the Traveler Commitment

The lead accepts the Lead Booker Agreement, and each traveler accepts the Traveler Commitment. Each is shown to you in full at the moment you accept it, and both are part of these Terms by reference. If this Section and the agreement you accepted for a trip differ, the agreement you accepted controls for that trip. The version you accepted applies to your trip.

If you organize a trip, RSVP or pay for other people, you confirm that you are authorized to act for each person you name, including any minor, and to commit any money that is not your own.

11.4 Payments

You authorize Paulean, Inc. to charge your payment method for your share of the trip as described in the commitment you accept. Each traveler is charged once, when the lead gives final approval of the trip. Paulean will never charge more than you have authorized without your separate approval. Prices shown before a trip is booked are estimates.

11.5 Price protection

Price protection of 25% is added to each trip share. Of those 25 points, 15 cover price changes before booking, and any unused part is returned to you after booking. The other 10 points are a transaction fee for payment processing and are not refundable.

Price protection is not trip protection or travel insurance. If you miss a flight, Paulean will help you find another, but Paulean does not recover the cost of the missed flight or of a lodging booking. Paulean recommends travel insurance for that.

11.6 Fees and RSVP deposits

11.7 Cancelling

Paulean strongly recommends that every traveler buy travel insurance covering cancellation, medical costs, evacuation, delay and lost baggage.

11.8 Failed payments and items that cannot be booked

If your payment fails, you remain responsible for your share, and Paulean will ask you to pay it. If Paulean cannot book an item, Paulean will offer a comparable alternative or refund that item in full. The lead decides, before giving final approval, whether a traveler who has not paid stays on the trip.

11.9 Decisions within the group

Disagreements between travelers, or between a traveler and the lead, are for the group and the lead to resolve. Paulean does not decide between travelers, and does not refund one traveler by charging another. Any arrangement travelers make among themselves is between them.

11.10 What the lead booker agrees to

11.11 What each traveler agrees to

Paulean may refuse or stop service, without refund, to anyone who threatens, harasses or abuses Paulean staff or suppliers.

11.12 Paulean's responsibility

Paulean is responsible for doing its own work with reasonable care. Paulean is not responsible for what a supplier or another traveler does or fails to do, including delays, cancellations, overbooking, injury, loss or damage caused by a supplier, or a supplier's insolvency. Section 7 applies to Paulean Trips.

Neither Paulean nor you is responsible for failing to perform because of events outside reasonable control, such as severe weather, natural disaster, epidemic, war, terrorism, civil unrest, government action, strikes, or airline or infrastructure failure. In those events, Paulean will try to rebook or recover money from suppliers, and will pass on any refund or credit a supplier gives, less supplier fees. The terms in 11.7 otherwise apply.

Nothing in these Terms limits liability that cannot be limited by law, including for fraud, gross negligence or wilful misconduct, or for death or personal injury caused by negligence.

11.13 Electronic signatures and records

You accept the Lead Booker Agreement and the Traveler Commitment electronically, and your electronic acceptance has the same effect as a handwritten signature. Paulean keeps a record of what you accepted and when, and shares each traveler's record with that traveler and with the lead. You agree to receive these agreements, receipts, notices and your record electronically, and you can download or print them at any time.

11.14 Card disputes

You agree to contact Paulean before disputing a Paulean Trips charge with your bank. Paulean may provide the record of what you accepted to your bank in any dispute. If Paulean loses a card dispute raised by a traveler for an item that was properly booked, the lead agrees that Paulean may recover the lost amount, and any dispute fee, from money Paulean owes the lead on that trip.

11.15 Contact and disputes with Paulean

Paulean Trips emails come from [email protected]. For questions about a trip or a payment, write to [email protected], or reply to any Paulean Trips email. Before starting any formal claim against Paulean, you agree to contact us at that address and give us 30 days to resolve it. Section 10 governs any dispute.

11.16 Place names

Place names come from GeoNames and are used under the Creative Commons Attribution 4.0 license. Paulean has trimmed and reorganised them.
